Hemptown USA Announces Agreement to Acquire Hempacco and Pacifica Premiums

Hemptown Organics Corp (Hemptown USA) has disclosed plans to acquire two established hemp brands—Hempacco Company Inc and Pacifica Premiums Inc—in an all‑share transaction. The Portland‑based cannabinoid company said the move will broaden its product portfolio, diversify sales channels, and extend its geographic reach across the United States and Mexico.

Details of the Deal and Supply‑Chain Integration

According to the letter of intent, Hemptown’s farming operations will supply 100 % of the raw hemp required by both Hempacco and Pacifica for their own brands and private‑label services, including Hemptown‑branded hemp smokables. Hempacco, based in Southern California, manufactures hemp‑only cigarettes that are rich in CBG and CBD while containing less than 0.3 % THC. The company also owns The Real Stuff line, supplies hemp smokables as a private‑label partner, and operates CBD/CBG vending machines in numerous locations nationwide.

Pacifica Premiums, also headquartered in California, focuses on premium hemp‑based consumer packaged goods and maintains long‑standing supply relationships with major retailers such as Walmart, 7‑Eleven, and Costco.

Market Opportunities Cited by Leadership

Hemptown CEO Eric Gripentrog highlighted the acquisitions as a way to tap into a “large and growing” market for industrial hemp smokable products. He noted that these products serve both as a smoking‑cessation aid and a recreational alternative, positioning Hempacco’s existing US and Mexican operations as accretive to Hemptown’s bottom line while offering significant upside potential.

Hempacco president Sandro Piancone emphasized that securing a steady, quality supply of hemp will support the company’s expansion goals. He pointed out that hemp smokables present an alternative to the global tobacco market, which Statista estimates at approximately USD $814 billion annually.

The letter of intent also outlines Hemptown’s intention to invest in Hempacco’s Mexican subsidiary, which currently sells hemp smokable products in more than 10,000 retail outlets across Mexico. Statista places the Mexican tobacco market at over USD $4 billion, a figure that Hemptown views as a promising avenue for growth.

Strategic Alignment and Financial Moves

Gripentrog said the acquisitions fit within Hemptown’s broader merger‑and‑acquisition strategy aimed at expanding its brand portfolio, diversifying distribution channels, and increasing revenue across both B2B and B2C segments. The transactions are expected to enhance geographic footprint while leveraging existing relationships with retailers and vending‑machine networks.

In parallel with the announcement, Hemptown launched a non‑brokered offering of units priced at US$1.75 each. Each unit comprises one common share and one warrant exercisable at C$4.00 over a three‑year period.
